About Cap Table

Cap Table manages company ownership end to end, for any number of companies — each company is its own workspace with its own members and roles. Admins and members can edit; auditors get a read-only view of the complete table in which every other holder appears under a stable pseudonym (percentages and totals are real; names are not), and their own row is named.

Equity: define share classes (authorized share ceilings, seniority ranks for the liquidation stack, liquidation preference multiples, conversion ratios), add stakeholders, and issue, transfer, or cancel securities. The ledger is transaction-based: every change is a recorded transaction, ceilings are enforced (issuance past a class’s authorized count is rejected), and concurrent edits are version-guarded so two admins cannot race past a limit.

Equity compensation: create option pools carved from a share class, define vesting schedules, grant options, record exercises into common shares, and model single- or double-trigger acceleration.

SAFEs and valuations: record SAFE notes (caps and discounts), define 409A-style valuations with an approval step, define financing rounds, and convert SAFEs at a round’s terms.

Fund administration: create funds with committed capital, add limited partners with commitments, run capital calls with per-LP allocations, and record distributions.

Tender offers: open an offer with price and window, record and withdraw tenders against eligible securities, and settle in a single batch — or cancel the offer.

Waterfall: model exit scenarios at any price — the preference stack pays by seniority (higher ranks first), preferences and participation apply per class terms, and results are shown per share class or per stakeholder, with a sensitivity view across a range of exit values.

OCF: import and export the cap table in Open Cap Format for interchange with other systems.

History & integrity: the full share ledger, newest first, and an integrity check that recomputes every share count, option total and capital-call total from the ledger and lists anything stored that disagrees with it.

The Fias AI assistant can operate the basics on request: switching and creating companies, navigating tabs, adding stakeholders, defining share classes, issuing shares (with an approval step), and granting a user admin or auditor access (also approval-gated). The assistant cannot read the table’s contents, and the involved flows above (transfers, options, SAFEs, funds, tenders, waterfall, OCF) remain manual — it will guide you to the right tab instead.

All data lives in Fias platform storage scoped to each company workspace; nothing leaves the platform.
